You must be at least eighteen years of age to use our services. By using the website you represent that you have the authority to do so and that all information you provide is accurate and complete. We may verify any information and may decline service if it is not verified to our satisfaction.

5. Quotations and Pricing

Price quotations we provide are estimates based on the details you supply and on current market conditions at the time the quotation is issued. Quotations are subject to change and may be withdrawn by us at any time, particularly where part availability, specifications or regulatory requirements change.

All prices are stated as agreed in the quotation and do not include any taxes, duties, customs fees or freight costs unless otherwise stated. You are responsible for the payment of all applicable taxes and for any duties or fees imposed on the import or transport of the goods, unless we agree otherwise in writing.

We make commercially reasonable efforts to keep the information on our website accurate, but we cannot guarantee that prices, availability or specifications are error-free. Where an error occurs, we will notify you and give you the opportunity to accept the corrected terms or cancel without penalty.

6. Orders and Confirmations

An order is placed when you accept a quotation, submit a purchase order, or otherwise confirm that you wish to purchase the identified goods or services. We will acknowledge receipt of your order, but the acknowledgment is not itself a confirmation of sale.

A contract is formed only when we issue a written order confirmation identifying the goods, price, quantities and delivery terms, and that confirmation is received by you. Until that confirmation is issued, we are under no obligation to deliver the goods, and you are under no obligation to accept them.

You may cancel an order that we have not yet confirmed without penalty. After confirmation, cancellation is governed by the terms set out in the order confirmation, and charges may apply to cover work already performed or commitments already made to our suppliers.

7. Shipping and Delivery

Delivery dates and times that we indicate are estimates only and are not guaranteed, unless we agree otherwise in writing. We will use commercially reasonable efforts to meet agreed delivery schedules, but we are not liable for delays caused by events beyond our control, including delays in supply, customs, transport, weather or port congestion.

Risk in the goods passes to you in accordance with the delivery terms stated in the order confirmation. Where no specific delivery terms are stated, risk passes to you when the goods are handed to the carrier for shipment to you.

We may deliver the goods in installments. Each installment is a separate supply, and a delay or failure in one installment does not entitle you to reject the remaining installments, unless the shortfall is material and persistent.

8. Inspection and Acceptance

Upon receipt of any goods, you must inspect them promptly and, in any event, within a reasonable time after delivery. You must notify us of any shortage, damage or non-conformity that is apparent on reasonable inspection, and you must raise any such claim within the time specified in the order confirmation, or if none is stated, within five business days of delivery.

If you fail to notify us of an apparent defect within the required period, the goods will be deemed accepted, and you will not be able to reject them later for that defect. This does not affect any claim you may have for a latent defect that could not be detected on reasonable inspection.

Any claim for inspection, rejection or return must be made in writing. We may ask you to provide evidence, photographs, sampling or a return of the disputed goods before we assess any claim, and we may elect to repair, replace or credit the goods at our option.

9. Airworthiness and Documentation

We take care to source aircraft parts that are verified for airworthiness and that come with documentation supporting traceability. However, we do not provide engineering opinions, approvals or certificates beyond those that accompany the parts from their original manufacturers or qualified sources.

It is your responsibility to ensure that any part you install meets the requirements of your airworthiness authority, your operations manual and the specific aircraft configuration. You must have the installation performed, inspected and released by appropriately qualified and licensed personnel, in accordance with all applicable regulations and standards.

We disclaim any express or implied warranty of fitness for a particular aircraft application unless it is expressly stated in the order confirmation. Nothing in these terms relieves you of your responsibility to confirm the suitability of any part for its intended use.

10. Acceptable Use of the Website

You agree to use the website only for lawful purposes and in a manner that does not interfere with its operation or the rights of others. You will not attempt to gain unauthorised access to our systems, introduce any malicious code, scrape or harvest data at scale, or use automated means to access or monitor the website.

We will not be liable for any failure or delay in our obligations caused by events beyond our reasonable control, including acts of government, war, civil unrest, pandemic, natural disaster, power failure, telecommunications failure, supplier failure or transport disruption.

The limitations and exclusions in this section apply whether the claim is based in contract, tort, statute or otherwise, and whether or not we were advised of the possibility of such damages.

13. Limited Warranties

We warrant that the services we provide will be performed with reasonable skill and care, and that we hold the appropriate authority to supply the parts identified in an order confirmation. We further warrant that parts supplied are as described in the order confirmation and, where documented, carry the traceability information stated.

Except as expressly set out in these terms, the website and our services are provided on an as is and as available basis, without warranties of any kind, whether express, implied or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose and non-infringement.

The warranties in this section are the only warranties we make, and they apply only to you, the original purchaser, and not to any third party. Unless a different period is stated in the order confirmation, any warranty we provide runs for a period of thirty days from delivery.

14. Indemnification

You agree to indemnify, defend and hold harmless AEROTYNE INTERNATIONAL LLC, the developer AerotyneIntl, and each of their officers, directors, employees and agents, from and against any claims, liabilities, damages, judgments, costs and expenses, including reasonable legal fees, arising out of or in connection with your use of the website, your breach of these terms, or your misuse of any parts or documentation supplied to you.

This indemnification will survive termination of these terms and will continue to apply with respect to events and conduct that occurred before termination. We reserve the right, at our own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which case you will cooperate fully with us.

These Terms of Service will be governed by and construed in accordance with the laws of the State of Utah, United States, without regard to its conflict of law principles. Any dispute arising out of these terms or the website will be subject to the exclusive jurisdiction of the federal and state courts located in the State of Utah.

You irrevocably consent to the exclusive jurisdiction of those courts and waive any objection relating to venue or the convenience of the forum. By using the website or our services, you submit to the personal jurisdiction of those courts.

If any provision of these terms is found to be unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.
